TERMS OF SERVICE

Please read these Terms of Service (the "Agreement") carefully. Your use of the Platform (as defined below) constitutes your consent to this Agreement.

This Agreement is between you and Lifestyle Vacation Clubs LLC ("Company", "we", "us", or "our"), a limited liability company organized under the laws of the State of Florida, concerning your use of (including any access to) the LVC platform currently located at https://lifestylevacationclubs.com (together with any materials and services available therein, and successor platform(s) thereto, the "Platform"). This Agreement hereby incorporates by this reference any additional terms and conditions posted by the Company through the Platform, or otherwise made available to you by the Company.

BY USING THE PLATFORM, YOU AFFIRM THAT YOU ARE AT LEAST 18 YEARS OF AGE.

If you are accessing or using the Platform on behalf of, or for the benefit of, any corporation, partnership, or other entity with which you are associated (an "Organization"), then you are agreeing to this Agreement on behalf of yourself and such Organization, and you represent and warrant that you have the legal authority to bind such Organization to this Agreement. References to "you" and "your" in this Agreement will refer to both the individual using the Platform and to any such Organization.

THIS AGREEMENT CONTAINS A MANDATORY ARBITRATION PROVISION THAT, AS FURTHER SET FORTH IN SECTION 10 BELOW, REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR ANY OTHER COURT PROCEEDINGS, OR CLASS ACTIONS OF ANY KIND.

About the Platform:

Lifestyle Vacation Clubs LLC ("LVC") operates a membership-based vacation club that provides members with access to wholesale travel rates through third-party booking portals. LVC is not a travel agency, tour operator, or booking engine operator. LVC is a membership club that facilitates access to discounted vacation accommodations.

LVC facilitates access to third-party travel booking portals and engines (the "Booking Portals") via single sign-on (SSO) through our Platform. The Booking Portals are operated by independent third-party travel suppliers and booking engines ("Travel Suppliers"). LVC does not operate the Booking Portals and does not directly provide, sell, resell, lease, rent, package, or otherwise offer any travel accommodation or service. LVC provides its members with access to these third-party platforms at preferential rates.

When you use a Booking Portal to reserve travel accommodations ("Travel Bookings"), you enter into a direct relationship with the relevant Travel Supplier(s). All Travel Bookings are subject to the applicable Travel Supplier's terms, conditions, rules, and policies, including refund, exchange, and cancellation policies (the "Travel Supplier Policies"). You agree to abide by all Travel Supplier Policies. Payments for Travel Bookings are processed by the Travel Suppliers, not by LVC.

All travel accommodations are provided and fulfilled by third-party resort operators and travel suppliers. LVC acts solely as an intermediary that connects members with wholesale travel rates.

2.1 Package Overview

LVC offers a single vacation package (the "Package") priced at $599, payable as a one-time upfront payment. The Package includes:

• One (1) Getaway Vacation: A deeply discounted resort stay that requires attendance at a resort sales presentation, typically lasting 60 to 120 minutes (duration varies by resort). Taxes and resort fees (approximately $99 per person) are paid separately at the time of booking and are not included in the $599 Package price.
• Three (3) Members-Only Vacations: Access to wholesale booking portal pricing at exclusive member rates not available to the general public. Members-Only Vacations are not free stays. Members pay the discounted portal rate at the time of booking each vacation.

2.2 Redemption Window

All vacations included in the Package must be redeemed within two (2) years from the date of purchase. Any unused vacations after the two-year redemption window will expire and will not be refunded, credited, or extended, except at the sole discretion of LVC.

2.3 Availability

All vacations included in the Package are subject to availability, including resort inventory, blackout dates, capacity restrictions, and resort-specific eligibility requirements. LVC does not guarantee the availability of any specific resort, destination, date, or rate. Rates displayed on the Booking Portals are subject to change without notice until a booking is confirmed by the Travel Supplier.

2.4 Sales Process

Packages are sold exclusively through a consultation with an LVC representative, typically conducted via video call. Packages are not available for self-service purchase on the Platform or website. Your account will be created by an LVC administrator following the completion of your purchase.

• A recurring monthly maintenance fee of $4.99 per month begins six (6) months after the date of Package purchase.
• The monthly maintenance fee will be charged to your payment method on file each month until cancelled.
• You may cancel the monthly maintenance fee at any time through the self-service cancellation feature in your account settings or by contacting us at support@lifestylevacationclubs.com.
• Cancellation of the monthly maintenance fee takes effect at the end of the current billing period.
• No refunds will be issued for partial months of the monthly maintenance fee.
• We reserve the right to modify the monthly maintenance fee amount with thirty (30) days' written notice to active members.

4.1 Account Creation

Your account on the Platform is created by an LVC administrator following the completion of your Package purchase. You will receive login credentials and instructions for accessing the Platform and Booking Portals.

4.2 Account Requirements

• You must be at least 18 years old to hold an account
• You must provide accurate, complete, and current information during the enrollment process
• You are responsible for maintaining the confidentiality of your account credentials, including your password and any single sign-on access to Booking Portals
• You are responsible for all activities that occur under your account, whether or not authorized by you
• Each membership is for individual use only

4.3 Account Security

• You must notify us immediately at support@lifestylevacationclubs.com of any unauthorized use of your account or any other breach of security
• We are not liable for any loss or damage arising from your failure to maintain the security of your account credentials
• Sharing account credentials with non-members is strictly prohibited and may result in account termination

5.1 Third-Party Services

• All Travel Bookings are provided and fulfilled by independent third-party Travel Suppliers through the Booking Portals
• LVC acts solely as an intermediary that facilitates your access to the Booking Portals. LVC is not a travel agency, tour operator, or booking engine operator
• All bookings are subject to the terms, conditions, and availability of the applicable Travel Supplier
• LVC is not responsible for the actions, omissions, errors, representations, warranties, or negligence of any Travel Supplier, nor for any personal injury, death, property damage, or other damages resulting from your use of Travel Supplier services

5.2 Getaway Vacations

• Getaway Vacations require attendance at a sales presentation at the resort, typically lasting 60 to 120 minutes (duration varies by resort)
• Failure to attend the required presentation may result in charges at the resort's full rack rate
• Taxes and resort fees (approximately $99 per person) are paid separately at the time of booking
• Getaway Vacation availability is subject to blackout dates, capacity restrictions, and resort-specific eligibility requirements
• Separate terms and conditions may apply to each Getaway Vacation, as specified by the individual resort

5.3 Members-Only Vacations

• Members-Only Vacations provide access to wholesale portal rates that are not available to the general public
• Members-Only Vacations are not free stays. You pay the discounted portal rate at the time of booking
• Rates displayed on the Booking Portals are set by the Travel Suppliers and are subject to change without notice until a booking is confirmed
• All Members-Only Vacation bookings are subject to the terms and conditions of the applicable Travel Supplier

5.4 Payment for Bookings

• The $599 Package fee is processed securely at the time of purchase. All amounts are displayed in USD
• Payments for Travel Bookings are processed by the applicable Travel Supplier through the Booking Portal, not by LVC
• Travel prices displayed on Booking Portals are subject to change without notice until a booking is confirmed by the Travel Supplier
• You authorize us to charge your payment method on file for the Package purchase and recurring monthly maintenance fees

6.1 Package Refund Policy

• The $599 one-time Package fee is non-refundable, except as set forth in our Refund Policy or as required by applicable law
• Please review our full Refund Policy for detailed information regarding eligibility and procedures

6.2 Monthly Maintenance Fee Cancellation

• You may cancel the recurring monthly maintenance fee at any time through your account settings or by contacting us at support@lifestylevacationclubs.com
• Cancellation takes effect at the end of the current billing period
• No refunds will be issued for partial months

6.3 Booking Cancellations

• Travel Booking cancellations are subject to the cancellation policies of the applicable Travel Supplier
• Cancellation fees may apply as determined by the Travel Supplier
• Refund eligibility, amounts, and timing for Travel Bookings are determined solely by the Travel Supplier
• LVC is not responsible for processing or guaranteeing refunds for Travel Bookings made through the Booking Portals

You agree not to:

• Use the Platform or Booking Portals for any illegal purpose
• Violate any applicable laws in your jurisdiction
• Infringe on the intellectual property rights of LVC, Travel Suppliers, or any third party
• Transmit any harmful code, viruses, or malware through the Platform
• Attempt to gain unauthorized access to our systems, other user accounts, or Booking Portals
• Harass, abuse, or harm other users or LVC representatives
• Use automated systems, bots, or scrapers to access the Platform without express written permission
• Resell, redistribute, or sublicense your membership access or Booking Portal credentials to any third party
• Create multiple accounts to circumvent membership restrictions
• Misrepresent your identity or affiliation during the enrollment process

8.1 No Warranties

THE PLATFORM AND ALL SERVICES PROVIDED THROUGH IT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. LVC DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

8.2 Availability and Rates

• LVC does not guarantee the availability of any specific resort, destination, travel date, or rate
• Wholesale rates displayed on Booking Portals are set by Travel Suppliers and are subject to change without notice
• We strive to maintain continuous Platform availability but do not guarantee uninterrupted access to the Platform or Booking Portals
• Booking Portal availability is controlled by the respective Travel Suppliers and is outside of LVC's control

8.3 Third-Party Fulfillment

• All travel accommodations are provided and fulfilled by third-party resort operators and travel suppliers. LVC is an intermediary and does not operate, manage, or control any resort or travel accommodation
• LVC is not responsible for the quality, safety, legality, or suitability of any travel products or services provided by Travel Suppliers
• All Travel Bookings with Travel Suppliers are governed exclusively by the applicable Travel Supplier Policies
• LVC does not verify, endorse, or guarantee any representations made by Travel Suppliers regarding their products or services
• LVC is not responsible for any disputes between you and a Travel Supplier

8.4 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• LVC, ITS OFFICERS, DIRECTORS, MEMBERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM OR ANY TRAVEL BOOKING
• LVC'S TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THIS AGREEMENT OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE TOTAL AMOUNT OF FEES PAID BY YOU TO LVC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM
• LVC SHALL NOT BE LIABLE FOR ANY ACTS, ERRORS, OMISSIONS, REPRESENTATIONS, WARRANTIES, BREACHES, OR NEGLIGENCE OF ANY TRAVEL SUPPLIER OR FOR ANY PERSONAL INJURIES, DEATH, PROPERTY DAMAGE, OR OTHER DAMAGES OR EXPENSES RESULTING THEREFROM
• SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, SO THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU

The Platform and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, and the design, selection, and arrangement thereof) are owned by Lifestyle Vacation Clubs LLC, its licensors, or other providers of such material and are protected by United States and international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.

You may not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Platform, except as generally permitted through normal web browsing activity.

10.1 Governing Law

This Agreement and any disputes arising out of or relating to it shall be governed by and construed in accordance with the laws of the State of Florida, without regard to its conflict of law principles. Any legal action or proceeding not subject to arbitration shall be brought exclusively in the state or federal courts located in Miami-Dade County, Florida.

10.2 Arbitration

Any dispute, claim, or controversy arising out of or relating to this Agreement or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be determined by binding arbitration in accordance with the rules of the American Arbitration Association ("AAA"). The arbitration shall be held in Miami-Dade County, Florida, or at another mutually agreed location. Judgment on the arbitration award may be entered in any court having jurisdiction. This clause shall not preclude parties from seeking provisional remedies in aid of arbitration from a court of appropriate jurisdiction.

10.3 Class Action Waiver

YOU AND LVC AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, CONSOLIDATED, OR REPRESENTATIVE PROCEEDING. Unless both you and LVC agree otherwise, the arbitrator may not consolidate or join more than one person's or party's claims and may not otherwise preside over any form of a consolidated, representative, or class proceeding.

We reserve the right to modify this Agreement at any time at our sole discretion. We will notify you of material changes by:

• Posting the updated Terms on our website with a revised "Last updated" date
• Sending a notification to your registered email address for material changes
• Displaying a prominent notice on the Platform

Your continued use of the Platform after the posting of revised Terms constitutes your acceptance of the modified Agreement. If you do not agree to the modified Terms, you must discontinue use of the Platform and cancel your membership.
